Interactive Strength Inc. (Nasdaq: TRNR), the parent company of Wattbike, FORME, and CLMBR, has finalized a deal to acquire Ergatta, Inc. This move is set to increase TRNR’s 2026 revenue guidance by 50%, pushing it past $30 million.
The agreement follows a letter of intent signed on January 9, 2026. Since then, both companies have worked quickly to finalize the terms. The deal is expected to close in Q1 2026, marking a major step forward for TRNR’s growth strategy.
Ergatta: Redefining Connected Fitness
Ergatta, based in Brooklyn, has transformed fitness with its game-based content platform. The company’s subscription model is not only profitable but also highly engaging. With a monthly net retention rate of over 98%, Ergatta leads the industry in customer loyalty. By 2026, the company expects to generate over $10 million in revenue, with 70% coming from recurring subscriptions. This provides TRNR with a steady and predictable revenue stream.
Ergatta’s asset-light business model is another advantage. It avoids heavy inventory investments while delivering strong cash flow. This efficiency makes the acquisition even more appealing.
TRNR structured the deal to ensure value. If Ergatta hits its performance targets, the maximum enterprise value will reach $19.5 million. With a projected 2026 EBITDA of $4.0 million, TRNR estimates an EBITDA multiple of less than 5.0x, even before factoring in synergies. Half of the valuation depends on Ergatta’s 2026 EBITDA, while an additional 5% ties to 2027 performance. This approach minimizes risk while maximizing potential upside.

Key Transaction Details
TRNR will acquire 100% of Ergatta through a mix of cash, debt, stock, and future performance-based payments. The base transaction value is $8.8 million, which includes $1.8 million in cash, $1.8 million in debt, and $5.3 million in equity locked until May 2027.
If Ergatta achieves $4.0 million in 2026 EBITDA, an additional $9.8 million will be paid in May 2027. This includes $3.5 million in cash and $6.3 million in equity. An extra $1.0 million in equity could be earned if Ergatta hits $4.8 million in 2027 EBITDA.
TRNR expects Ergatta to generate more cash flow in 2026 than the initial cash payment. The upfront cash will come from TRNR’s existing financing facilities.
